Nomination Committee’s Proposal for the Board of Directors of HANZA

The Nomination Committee of HANZA AB (publ) proposes that the Annual General Meeting on May 12, 2026 resolve to re-elect Board members Francesco Franzé, Helene Richmond and Lars-Ola Lundqvist, and to elect Georg Weber and Alva Åqvist as new Board members. Francesco Franzé is proposed to be re-elected as Chairman of the Board.

Georg Weber has a long international industrial career and serves as Global Chief Technology Officer (CTO) and a member of the Group Management of Wilo SE, a global manufacturer of pumps and pump systems headquartered in Germany. In his current role, he has group-wide responsibility for, among other areas, production, procurement, supply chain, quality, industrial structure and major investments. He has previously held senior international positions at Philips, with responsibility for global manufacturing networks, operations and partnerships within contract manufacturing.

Alva Åqvist, Vice President within Private Equity at EQT Partners. She has previous experience at McKinsey & Company, as well as at ABG Sundal Collier and Investor AB. She holds a Master of Science in Industrial Engineering and Management from KTH Royal Institute of Technology. Alva Åqvist is the daughter of HANZA’s principal owner, Gerald Engström, and is therefore not considered independent in relation to major shareholders.

Per Holmberg and Taina Horgan have declined re-election.

“The Nomination Committee considers that the proposed Board of Directors has a strong and relevant competence profile for HANZA’s next phase of development. The proposal combines continuity with new competence. Georg Weber also brings valuable industrial perspective in light of HANZA’s expansion in Germany and the acquisition of BMK,” says Francesco Franzé, Chairman of the Nomination Committee.

The Nomination Committee’s complete proposals for resolutions at the 2026 Annual General Meeting, along with a justification, will be published in connection with the notice of the Annual General Meeting and will be available on the company’s website.
